1. Agreement to Terms

Welcome to Azmy.ai ("Azmy," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our mobile application, website, and related services (collectively, the "Service").

By creating an account, downloading the app, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

We may modify these Terms at any time. Continued use after modifications constitutes acceptance. We will notify you of material changes via email or in-app notification.

2. Eligibility

To use Azmy, you must:

• Be at least 13 years old (or 16 in the EU/UK)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws

By using the Service, you represent and warrant that you meet these requirements.

3. Description of Service

Azmy is a personal productivity and wellness platform that provides:

• AI-Powered Daily Planning: Intelligent scheduling based on your energy levels, habits, and priorities
• Health Data Integration: Sync with Apple Health, Google Fit, and other platforms to incorporate sleep, activity, and wellness data
• Behavioral Quizzes: Morning check-ins and assessments that help personalize your experience
• Smart Calendar: Calendar management with AI-suggested time blocks and task prioritization
• Insights Dashboard: Daily score, trends, and actionable recommendations

4. Account Registration

4.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access

4.2 Account Security

You are responsible for all activities under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

4.3 Account Termination

You may delete your account at any time through the app settings. Upon deletion:

• Your personal data will be deleted within 30 days
• Any active subscriptions will be cancelled
• You will lose access to all Service features

5. Subscriptions and Payments

5.1 Free and Premium Features

Azmy offers both free and premium (paid) features. Premium features require an active subscription.

5.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is processed through the App Store (iOS) or Google Play (Android)
• Prices are subject to change with 30 days notice

5.3 Auto-Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. You can manage subscriptions through your device's app store settings.

5.4 Refunds

Refunds are subject to the policies of Apple App Store or Google Play Store. Contact the respective platform for refund requests.

6. Acceptable Use

You agree to use Azmy only for lawful purposes. You may NOT:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) without permission
• Reverse engineer, decompile, or disassemble the app
• Transmit malware, viruses, or harmful code
• Harass, abuse, or harm others through the Service
• Create fake accounts or impersonate others
• Use the Service for any commercial purpose without authorization

We reserve the right to suspend or terminate accounts that violate these rules.

7. Health Information Disclaimer

The insights, recommendations, and data provided by Azmy are for informational and wellness purposes only. They are not intended to replace professional medical advice.

• Always consult a qualified healthcare professional for medical decisions
• Do not disregard professional medical advice based on information from Azmy
• Seek immediate medical attention for any health emergencies
• Health data shown in the app may not be accurate and should not be relied upon for medical purposes

By using health-related features, you acknowledge and accept these limitations.

8. Intellectual Property

8.1 Our Property

The Service, including all content, features, functionality, design, code, logos, and trademarks, is owned by Azmy.ai and protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

8.3 Restrictions

You may not:

• Copy, modify, or distribute any part of the Service
• Use our trademarks without written permission
• Create derivative works based on the Service
• Remove any copyright or proprietary notices

9. User Content and Data

9.1 Your Data

You retain ownership of all data you input into Azmy, including:

• Calendar events and tasks
• Quiz responses and preferences
• Notes and personal information

9.2 License to Us

By using the Service, you grant us a limited license to process, store, and analyze your data solely to:

• Provide and personalize the Service
• Generate insights and recommendations
• Improve our algorithms and features

This license terminates when you delete your account.

9.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation to you.

10. Third-Party Services

Azmy integrates with third-party services such as:

• Apple Health and Google Fit
• Calendar services (Google Calendar, Apple Calendar)
• Payment processors (App Store, Google Play)

Your use of these services is governed by their respective terms and privacy policies. We are not responsible for third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF CONTENT

We do not guarantee that the Service will be uninterrupted, error-free, or secure. Use the Service at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Azmy.ai and its affiliates, officers, directors, employees, and agents shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages
• This includes damages for loss of profits, data, goodwill, or other intangible losses
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Azmy.ai and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws

14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at a.chernov@azmy.ai to attempt informal resolution for at least 30 days.

14.2 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14.3 Jurisdiction

Any disputes not resolved informally shall be resolved in the state or federal courts located in Delaware. You consent to personal jurisdiction in these courts.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Azmy.ai.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

15.3 Waiver

Failure to enforce any right does not constitute a waiver of that right.

15.4 Assignment

You may not assign your rights under these Terms. We may assign our rights without restriction.

15.5 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control.
